The following is a legal agreement between you and the owners and operators of suraimages.com (Website). By accessing, purchasing or using any Content from Sura Images website, you agree to be bound by the terms of this Agreement. If you do not agree with the Terms of Use, you are not allowed to use the Website. This agreement may be revised or updated without notice.

The Use of this Website

You warrant that you are of legal age to use the Website and to create binding legal obligations for any liability you may incur as a result of the use of the Website. You agree that you are responsible for all of your use of the site including for the use of your account by others.

A. Definitions:

All capitalized terms shall have the meaning set forth and elsewhere in these terms and conditions.

1. "End Use" means the final work created with the content as authorized.
2. "License" means the permission granted by Sura Images to Licensee to use the Content as specified in and subject to the terms and conditions of the Agreement.
3. "Licensee" means the person who is registered with Sura Images as a member and is listed as the registrant of the Sura Images account through which the License is granted.
4. "Material" and "Images" means all material and images respectively, and related informational materials in any medium obtained from or furnished by Sura Images hereunder, including without limitation related metadata, text, captions, or information.
5. "Model Release" means that the contributor/photographer of Content has obtained permission for all permitted licensing type uses from people who are visible and recognizable in the Content.
6. "Property Release" means that the contributor/photographer of Content has obtained permission for all permitted licensing type uses from the owner of the tangible property depicted in the Content. “Property Release” does not include any permission for any intellectual property depicted in the Content.
7. "Rights-Managed Content" means Content licensed for a fee on a per-use basis and expressly designated as “Rights-Managed” or “RM” by Sura Images.
8. "Royalty-Free Content" means Content licensed for an unlimited number of permitted uses for a one-time flat fee and expressly designated as “Royalty-Free” or “RF” by Sura Images.

B. License:

The following are the types of license rights available from Sura Images:-

1. Who May Use the Content: Only Licensee may use the Content and the End Use must be solely for Licensee’s own use. Licensee’s employees and contractors (if any) may use the Content as necessary to create the End Use as provided, provided that each such employee or contractor has agreed to comply with the terms hereof, and further provided that Licensee remains liable for any breach of the terms of this Agreement by such employee(s) or contractor(s).
2. License Types:
   
   

   A. Standard License:

   (i) Rights Managed (RM): Rights-managed content (images) are licensed with restrictions on usage, such as limitations on size, placement, duration of use, regional distribution etc. You will be asked to submit information concerning your intended use of the content, which will determine the scope of usage rights granted. Our price calculator or one of our sales representatives can help you determine the price.

   (ii) Rights Ready (RR): Rights-managed content (videos) are licensed with restrictions on usage, such as limitations on size, placement, duration of use, regional distribution etc. You will be asked to submit information concerning your intended use of the content, which will determine the scope of usage rights granted. Our price calculator or one of our sales representatives can help you determine the price.

   (ii) Royalty-Free (RF): Royalty-free licensing is based solely on the file size of the content you need and not for specific use. Once purchased, it can be used multiple times on different media by your client/employer/ licensee without incurring additional fees.

   (iii) Editorial (RM): This type of license is licensed with restrictions on usage, such as media placement, size, placement, duration and regional distribution. Editorial content must be used for editorial use only that is newsworthy or of public interest.

   (iv) Editorial (RF): Editorial Royalty-Free content must be used for editorial use only that is newsworthy or of public interest and have no restrictions on usage, such as media placement, size, placement, duration and regional distribution. It is based solely on the file size of the content you need and not for specific use.

   B. Exclusive License:

   This type of license grants the licensee the rights to use the stock for a specified period of time and during this period no other licensee can be granted those rights from the date of purchase till the end of the period. No one else can ever use it for any project during your specified duration but will be available to others once your duration lapses. The duration can either be; 3 months, 6 months, 1 year or 2 years.

   For the Content to be available with an exclusive license the creator/owner of the Content must have agreed with Sura Images exclusivity agreement prior uploading the Content.

C. Parties:

This Agreement is binding between Sura Images Limited ("Sura Images") and Licensee. "Licensee" means:

1. the individual listed as the registrant of the Sura Images account through which the License is granted ("Registrant") and
2. if Registrant is entering into this Agreement for the benefit of, or as an agent on behalf of, Registrant’s employer ("Employer") or a third party ("Principal")

D. Ownership and Intellectual Property:

Sura Images and its Content sources retain all right, title, and interest in and to all of the copyrights and any other proprietary rights in the Content. No rights in any Content are granted except the Licenses specified in this Agreement. Any right, title or interest arising in any compilation or derivative work created using any Content shall not entitle Licensee to use any Content except as permitted hereunder.
